Agreement to these Terms.

These Terms of Service are a legal agreement between you and AtomicTax. By visiting the website, creating an account, using the application or API, uploading data, requesting filing support, or otherwise using AtomicTax services, you agree to these Terms.

If you use AtomicTax on behalf of a company or other organization, you represent that you have authority to bind that organization. In that case, "you" and "customer" refer to that organization and its authorized users.

A separate signed agreement, order form, statement of work, data processing addendum, or engagement letter may apply to specific services. If there is a conflict, the signed agreement controls for the covered services.

AtomicTax services.

AtomicTax provides sales tax workflow software, report intake, filing packet preparation, nexus and registration workflow support, API services, and standard sales tax filing support for merchants and other business customers. Features may include data imports, ecommerce and marketplace report processing, tax jurisdiction summaries, filing support, state registration assistance, confirmation storage, and related operational tools.

AtomicTax may update, modify, suspend, or discontinue features from time to time. We may also refuse or pause work where information is incomplete, authorization is missing, required portal access is unavailable, a filing deadline cannot reasonably be met, or the requested work is outside our supported service scope.

No public tax, legal, or accounting advice.

Website content, calculators, guides, blog posts, product pages, and general communications are for informational purposes only. They do not constitute tax, legal, accounting, financial, or professional advice and do not create a professional engagement by themselves.

Sales tax laws, filing rules, nexus thresholds, deadlines, rates, exemptions, and marketplace treatment can change and can depend on your facts. You are responsible for reviewing your obligations with qualified tax, legal, or accounting advisors as needed.

Customer responsibilities.

You are responsible for the accuracy, completeness, timeliness, and legality of information, reports, credentials, authorizations, and instructions you provide to AtomicTax.

  • Provide accurate business, account, state, filing, registration, and transaction information.
  • Review filing packets, returns, summaries, calculations, and confirmations before relying on them.
  • Maintain current state portal access, payment methods, registrations, permits, exemption support, and marketplace records.
  • Submit information early enough for AtomicTax to review, prepare, and support filings before deadlines.
  • Confirm whether marketplace facilitators, payment platforms, ecommerce platforms, or other third parties collected or remitted tax.
  • Comply with tax laws, privacy laws, platform terms, export controls, and other laws applicable to your business and data.

Accounts and access.

You must keep account credentials confidential and use reasonable security controls, including strong passwords and multi-factor authentication where available. You are responsible for activity that occurs through your account, including activity by employees, contractors, agents, invited users, and anyone with access to your credentials or connected systems.

You may not access or use AtomicTax in a way that interferes with the service, attempts to bypass security controls, reverse engineers non-public systems, scrapes data without permission, transmits malicious code, violates law, infringes rights, or misuses government, marketplace, payment, or tax authority systems.

Pricing, payments, and taxes.

Published pricing may include standard sales tax filings at $45 per filing, state registration support, API services, subscriptions, usage-based charges, or other fees. Pricing may vary by service scope, filing complexity, state requirements, data quality, deadline timing, customer agreement, and optional services.

You authorize AtomicTax and its payment processors to charge applicable fees, taxes, and other amounts using the payment method you provide. Unless a written agreement says otherwise, fees are due when invoiced or charged and are non-refundable once work has started, a filing packet has been prepared, an API service has been used, or a filing or registration workflow has been submitted.

You are responsible for government filing fees, permit fees, penalties, interest, tax payments, payment processing charges, and other third-party charges unless a written agreement says otherwise.

Data, files, and integrations.

You grant AtomicTax permission to access, process, transmit, store, and use data, files, reports, credentials, API responses, and connected-service information as needed to provide services, support accounts, troubleshoot issues, improve workflows, maintain security, and comply with law.

If you connect AtomicTax to a third-party platform, marketplace, payment processor, accounting system, API, or government portal, you authorize AtomicTax to exchange information with that service as needed for the requested workflow. Third-party services are governed by their own terms and privacy practices. AtomicTax is not responsible for third-party systems, outages, data errors, rule changes, or unauthorized actions outside AtomicTax control.

API and developer services.

If you use AtomicTax API services, you are responsible for securing API keys, validating responses, monitoring usage, handling errors, and confirming that API output is appropriate for your workflow. You may not overload the API, share keys without authorization, bypass rate limits, use the API for unlawful activity, or resell API access unless AtomicTax agrees in writing.

API availability, endpoints, response formats, rate limits, and supported workflows may change. AtomicTax may suspend API access for security, abuse prevention, nonpayment, legal compliance, or operational reasons.

Intellectual property.

AtomicTax and its licensors own the website, application, software, workflows, designs, templates, documentation, APIs, reports, and other materials we provide, excluding customer data and third-party materials. You may use AtomicTax services only as permitted by these Terms and any applicable written agreement.

You retain ownership of your customer data, business data, uploaded files, and source reports. You are responsible for having the rights and permissions needed to provide that information to AtomicTax.

Confidentiality.

Each party may receive non-public business, technical, financial, tax, customer, or operational information from the other party. The receiving party will use reasonable care to protect confidential information and will use it only for the purposes of the relationship, unless disclosure is authorized, required by law, or permitted by a written agreement.

Disclaimers and limitation of liability.

AtomicTax services are provided on an "as is" and "as available" basis except as expressly stated in a written agreement. We do not guarantee uninterrupted service, error-free data, acceptance by tax authorities, absence of penalties, perfect tax calculations, or that every law, rate, rule, exemption, deadline, or filing requirement will be identified.

To the maximum extent permitted by law, AtomicTax will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, lost data, loss of goodwill, business interruption, penalties, interest, or tax liabilities arising from or related to use of the services, even if we have been advised of the possibility of those damages.

To the maximum extent permitted by law, AtomicTax's total liability for any claim related to the website, application, API, or services will not exceed the amounts paid by you to AtomicTax for the affected service during the three months before the event giving rise to the claim, unless a written agreement states a different limit.

Indemnity.

You agree to defend, indemnify, and hold AtomicTax harmless from claims, losses, liabilities, damages, costs, and expenses arising from your data, instructions, connected accounts, misuse of the services, violation of these Terms, violation of law, or infringement of third-party rights.

Suspension and termination.

AtomicTax may suspend or terminate access to the website, application, API, or services if you violate these Terms, fail to pay amounts due, create security or legal risk, misuse integrations, provide inaccurate authorization, or request unsupported work. You may stop using the services at any time, subject to any payment, record retention, and written agreement obligations.

Governing law and disputes.

Unless a written agreement says otherwise, these Terms are governed by the laws of the State of Georgia, without regard to conflict of law rules. The parties will try to resolve disputes informally first by contacting each other. If a dispute cannot be resolved informally, the parties agree to bring claims in courts located in Georgia unless applicable law requires another venue.

Changes to these Terms.

We may update these Terms from time to time. If we make material changes, we will update the date above and may provide additional notice through the website, application, email, or other reasonable means. Continued use of AtomicTax after updated Terms are posted means you accept the updated Terms.
